Pennsylvania LLC Filing Fee: $125 for the Certificate of Organization
Forming an LLC in Pennsylvania costs $125. That is the Department of State's fee for the Certificate of Organization (Form DSCB:15-8821), which goes in with a one-page docketing statement (DSCB:15-134A). The fee is nonrefundable and is the same whether you file online or on paper.
After that, the annual report costs $7 and is filed between January 1 and September 30. Pennsylvania has no late fee listed for it.

How to file a Pennsylvania Certificate of Organization
- Choose a name that includes "company," "limited" or "limited liability company" or an abbreviation of one of those. It can't suggest a corporation ("corporation," "incorporated"). Search it for free in Business Filing Services at file.dos.pa.gov.
- Pick your registered office. Pennsylvania uses "registered office," not "registered agent." List your own Pennsylvania street address (no P.O. boxes), or name a Commercial Registered Office Provider and the county. You use one or the other, not both.
- Complete DSCB:15-8821 and the docketing statement. Every organizer signs. The form doesn't ask for members or managers, and there's no advertising requirement for an LLC.
- File and pay. Online, use Business Filing Services at file.dos.pa.gov. By mail, send the forms and a check payable to the Department of State to P.O. Box 8722, Harrisburg, PA 17105-8722. The Department said it kept a two-to-four-day processing time through 2024; current times show in the filing portal.
- Calendar September 30. Your first annual report is due the year after you form.
