Pennsylvania LLC Annual Report: $7, Due by September 30
Every Pennsylvania LLC files an annual report (Form DSCB:15-146) with the Department of State's Bureau of Corporations and Charitable Organizations. The fee is $7, and the filing window runs from January 1 to September 30.
Your first report is due the year after you form the LLC. The annual report replaced the old decennial report starting in 2025, under Act 122 of 2022. Reports filed online are approved automatically, and the Department offers no expedited service for them.

What the report asks for
The report confirms the LLC's name, jurisdiction, registered office, principal office, at least one governor, any principal officers, and the entity number. The Department mails a notice to the registered office address at least two months before the deadline, so keep that address current.
If you miss September 30
Starting with reports due in 2027, an LLC that does not file in that calendar year can be administratively dissolved six months after the due date. After that it may only wind up its affairs or apply for reinstatement, it cannot get a subsistence certificate, and its name becomes available to other businesses.
Reinstatement has no time limit. It costs $35 online or $40 on paper, plus $15 for each missing annual report. The LLC keeps its entity number, but if someone else has taken the name in the meantime, it has to choose a new one.
